Terms of Use

SnagSort is a trading name of GMBF Ventures Ltd. These terms govern authorised business use of SnagSort unless a signed customer agreement, order form or negotiated enterprise agreement states otherwise.

1. Authorised use

You may use SnagSort only for the organisation, projects and functions for which you have been authorised. Accounts, access links and codes must not be shared except through an authorised SnagSort invitation workflow.

2. Customer and project content

GMBF Ventures Ltd does not acquire ownership of customer photographs, snag records, drawings, notes, reports or completion evidence merely because they are uploaded to SnagSort. Rights remain with the customer, uploader or other rights-holder under the underlying project arrangements.

The customer grants GMBF Ventures Ltd a non-exclusive licence to host, process, reproduce, transmit, back up and technically transform project content only as reasonably required to provide, secure and support SnagSort, follow documented customer instructions and comply with law.

3. Contractor and subcontractor evidence

Evidence submitted into a customer project may become part of the customer’s quality, audit, contract-administration and handover record. The uploader must have authority to submit it. The customer may retain and use that evidence for those project purposes to the extent permitted by the project contract and applicable law.

4. Confidentiality

Project photographs and records may be commercially sensitive. External users are subject to the separate External User Terms. Unless expressly authorised by the customer or required by law, external users must not copy, download, screenshot, screen-record, print, forward, republish, post to social media, upload to another cloud/CDE, or submit project evidence to an external AI or image-analysis service.

5. AI-assisted features

AI-assisted drafting is optional. When an authorised user invokes it, selected notes, context and photographs required for the requested draft may be sent to the configured AI provider. GMBF Ventures Ltd will not intentionally opt customer project content into third-party model-training/data-sharing programmes or use it to train a general-purpose model without the customer’s explicit written authorisation.

6. Security and user responsibilities

You must keep credentials and access links secure, use the service lawfully, and promptly report suspected unauthorised access or disclosure. You must not attempt to bypass access controls, probe another party’s project data, interfere with the service, or use SnagSort to store unlawful material.

7. Service and contractual status

SnagSort records support project administration but do not, by themselves, create contractual authority, acceptance, certification, Practical Completion, Completion or waiver unless the underlying contract expressly gives them that effect. Named contract roles and agreed notice mechanisms remain controlling.

8. Availability

We aim to provide a reliable service but do not promise uninterrupted availability. Enterprise/customer agreements may contain specific service levels, support, data return, retention or exit provisions.

9. Data protection

The Privacy Notice explains controller processing. Where GMBF Ventures Ltd acts as processor for customer project personal data, the customer agreement and applicable data-processing terms govern that processing.

10. Intellectual property in SnagSort

The SnagSort software, brand, interfaces and service documentation, excluding customer/project content, are owned by or licensed to GMBF Ventures Ltd.

11. Suspension and termination

Access may be suspended or revoked where required for security, breach, customer instruction, expiry of the relevant project access or termination of the customer relationship.

12. Law

Unless a signed customer agreement provides otherwise, these terms are governed by the laws of England and Wales and the courts of England and Wales have jurisdiction.
